1. Agreement to Terms
By accessing or using FreakyFund ("Platform"), operated by Primus Cloud Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
These Terms apply to all users, including visitors, registered users ("Backers"), and project creators ("Creators"). Additional terms may apply to specific features or services.
2. Platform Overview
FreakyFund is a reward-based crowdfunding platform. Creators list campaigns offering tangible rewards in exchange for financial contributions from Backers. FreakyFund is not an investment platform. No equity, securities, revenue share, or financial return of any kind is offered or implied through any campaign on this Platform.
3. Eligibility
You must meet the following requirements to use FreakyFund:
- —Be at least 18 years of age
- —Be capable of forming a legally binding agreement
- —Reside in a supported country (currently: United States, United Kingdom, Canada, and European Union member states)
- —Not be prohibited from using the Platform under applicable laws
Creators must additionally complete identity verification (KYC) and connect a valid Stripe account before launching a campaign or receiving funds.
4. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate, current, and complete information during registration and keep it updated. You must notify us immediately of any unauthorized access to your account.
We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.
5. Creator Obligations
5.1 Campaign Accuracy
Creators must provide truthful, complete, and non-misleading descriptions of their projects, goals, timelines, and rewards. Creators are solely responsible for the content of their campaigns.
5.2 Identity Verification (KYC)
All Creators must complete Know Your Customer (KYC) verification through our third-party provider (Stripe Identity) before receiving any funds. This process verifies your identity using a government-issued ID and is required for legal compliance and platform integrity.
5.3 Reward Fulfillment
Creators are legally obligated to fulfill all rewards as described in their campaign. If a Creator is unable to fulfill a reward, they must communicate transparently with Backers and offer a reasonable alternative or refund. Failure to fulfill rewards may result in account suspension, fund withholding, and potential legal action.
5.4 Prohibited Content
Campaigns must not:
- —Offer equity, securities, revenue shares, or any financial return
- —Promote illegal products, services, or activities
- —Contain fraudulent, deceptive, or misleading information
- —Infringe on intellectual property rights of third parties
- —Promote hate speech, violence, discrimination, or harassment
- —Offer weapons, drugs, tobacco, or regulated substances
- —Involve gambling, lotteries, or games of chance
- —Violate any applicable laws or regulations
We reserve the right to remove campaigns that violate these rules without prior notice.
6. Backer Obligations
6.1 Nature of Contributions
Contributions on FreakyFund are purchases of rewards, not investments, donations, or loans. By backing a project, you are committing to pay the specified amount in exchange for the described reward. Backers should understand that creative projects carry inherent risk, and delays or changes to rewards may occur.
6.2 Payment Authorization
By backing a campaign, you authorize us and our payment processor (Stripe) to charge your selected payment method. All payments are processed securely through Stripe. FreakyFund does not store your payment card details.
7. Funding Models
7.1 All-or-Nothing Funding
If a campaign uses All-or-Nothing funding, Backers are only charged if the campaign reaches its stated goal by the deadline. If the goal is not met, no charges are made and no funds are transferred.
7.2 Flexible Funding
If a campaign uses Flexible Funding, Backers are charged regardless of whether the campaign reaches its goal. The Creator receives all funds raised (minus fees) and remains obligated to fulfill rewards.
8. Fees
FreakyFund charges the following fees on successfully funded campaigns:
- —Platform fee: 5% of total funds raised
- —Payment processing: 2.9% + $0.30 per transaction (charged by Stripe)
There are no setup fees, monthly fees, or hidden charges. Fees are deducted before funds are transferred to the Creator's Stripe account.
9. Payments and Payouts
All payments are processed through Stripe Connect. Creators receive payouts directly to their connected Stripe account within 5-7 business days after a campaign successfully concludes. FreakyFund does not hold Creator funds; they are managed by Stripe in accordance with Stripe's terms of service.
10. Refunds and Disputes
Because contributions are reward purchases tied to specific campaigns, refund policies depend on the campaign status:
- —Before campaign ends (All-or-Nothing): Backers may cancel their pledge at any time before the campaign deadline.
- —After successful funding: Refund requests are handled by the Creator. Creators may issue voluntary refunds through their dashboard.
- —Payment disputes: Handled through Stripe's dispute resolution process.
FreakyFund is not responsible for mediating disputes between Creators and Backers, but may intervene in cases of clear fraud or Terms violations.
11. Intellectual Property
11.1 Your Content
You retain ownership of all content you submit to the Platform. By posting content, you grant FreakyFund a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform and your campaign.
11.2 Platform Content
The FreakyFund name, logo, website design, and all related trademarks, service marks, and content are the property of Primus Cloud Solutions. You may not use our branding without prior written permission.
12. Limitation of Liability
FreakyFund is a platform connecting Creators and Backers. We do not guarantee the success of any campaign, the quality of any reward, or the ability of any Creator to fulfill their obligations.
To the maximum extent permitted by law, FreakyFund and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform.
Our total liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the amount of fees paid by you to FreakyFund in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless FreakyFund, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
14. Account Termination
You may close your account at any time by contacting us. We may suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in fraudulent or harmful behavior.
Upon termination, your obligations regarding outstanding campaign commitments, reward fulfillment, and any pending financial transactions survive.
15. Modifications to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, except where prohibited by law, in which case disputes shall be brought in the courts of competent jurisdiction.
